PINASMART™ ("PINASMART", "PinasMart", "we", "us" or "our") is a Philippine online business discovery and business-to-business marketplace platform operated by KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS, with business address at 1B Aveline Building, General Tinio, Nueva Ecija, Philippines.

PINASMART is designed primarily to help prospective buyers discover and communicate with independent sellers, manufacturers, suppliers, distributors, contractors, professionals, service providers, equipment owners and other businesses.

Please read this Disclaimer together with the PINASMART Terms and Conditions and Privacy Policy.

1. PINASMART Connects Buyers and Sellers

PINASMART primarily provides business-listing, search, discovery, advertising, enquiry, quotation and communication tools through which prospective buyers and independent businesses may find and contact one another.

Unless PINASMART expressly states otherwise for a particular service, PINASMART is not the seller, manufacturer, supplier, distributor, contractor, service provider, professional, lessor, employer, buyer, broker, agent, payment intermediary or guarantor in transactions between Platform users.

PINASMART does not ordinarily negotiate or conclude the underlying transaction for the parties and does not ordinarily retain oversight over the consummation, payment, delivery, fulfillment, warranty or after-sales performance of the transaction between an independent buyer and seller.

2. PINASMART Does Not Charge a Commission on Buyer-Seller Transactions

PINASMART does not ordinarily receive a commission, percentage of sale or success fee from the price privately agreed between a prospective buyer and an independent seller merely because the parties discovered one another through PINASMART.

The buyer and seller independently negotiate and agree upon their own:

• price;
• quantity;
• specifications;
• payment terms;
• credit arrangements;
• delivery arrangements;
• warranties;
• installation;
• after-sales service;
• returns or replacements;
• tax responsibilities;
• contractual obligations; and
• other commercial terms.

3. Payments to PINASMART Are for Platform Services

Payments made directly to PINASMART are generally for services supplied by PINASMART itself, including:

• listing plans;
• additional listing features;
• enhanced business profiles;
• advertisements;
• featured or sponsored placement;
• premium visibility;
• additional Platform tools; and
• other clearly identified digital marketplace services.

Such payment does not make PINASMART the seller of products or services separately offered by the listed business.

Unless expressly stated otherwise, PINASMART does not collect the purchase price of a seller's product or service on behalf of that seller, does not hold buyer funds in escrow and does not guarantee payment to a seller.

4. Independent Transactions

Any purchase, sale, supply arrangement, service engagement, rental, appointment, employment arrangement or other transaction resulting from contact made through PINASMART is principally a separate agreement between the relevant buyer and seller.

The parties are responsible for understanding and documenting their agreement and complying with applicable laws, regulations, taxes, permits and contractual obligations.

5. Listings Are Provided or Approved by Independent Businesses

Business profiles, product listings, service descriptions, photographs, prices, specifications, advertisements, promotions, availability, quotation information and other commercial statements may be submitted or approved by independent sellers or their authorized representatives.

Sellers are responsible for the truthfulness, accuracy, legality and currency of the information they submit or approve.

6. Seller Authorization and Waiver to Publish

A seller, business owner or duly authorized representative who creates, claims, verifies, edits, submits or approves a business listing represents that he or she has authority to publish the submitted business information.

By submitting or approving the listing, the seller expressly authorizes PINASMART to publish and make searchable the business information designated for public display, including applicable business name, address, contact details, products, services, business descriptions, photographs, logos and other listing content.

The seller acknowledges that the purpose of PINASMART is to make legitimate businesses discoverable by prospective buyers and that publication of relevant business information is therefore an essential feature of the service.

A seller who does not agree to the publication of information required for an effective business listing should not submit, verify or maintain that listing and may request appropriate modification or removal.

This authorization does not permit PINASMART to sell the seller's private personal information to unrelated data brokers or advertisers.

7. We Do Not Sell Personal Information

PINASMART does not operate a business of selling users' personal information.

PINASMART earns or may earn revenue from listing subscriptions, expanded Platform features, advertisements, sponsored placement, premium visibility and similar services provided by PINASMART.

Public business information appearing in a seller-approved listing is displayed to help prospective customers find and contact that business. Its public display should not be interpreted as a sale of that personal information.

8. Business Verification

PINASMART endeavors to improve the reliability of its directory by requesting and reviewing documents from businesses where appropriate.

Verification may include review of documents such as:

• DTI or SEC registration;
• BIR registration;
• business permits;
• government-issued identification;
• proof of address;
• professional licenses;
• regulatory permits; and
• proof of authority to represent a business.

PINASMART may also compare submitted information against lawful public sources or registries where reasonably practicable.

9. Meaning of a Verified Badge

A Verified badge means that PINASMART has reviewed specified information or documents at a particular point in time in accordance with the Platform's then-current verification procedure.

A Verified badge does not constitute:

• a guarantee of the authenticity of every document submitted;
• an audit of the business;
• a government accreditation;
• a guarantee of financial solvency;
• a credit rating;
• a guarantee that the seller owns every item advertised;
• a warranty of product quality;
• a guarantee of professional competence;
• a guarantee that the business will fulfill every transaction;
• a guarantee against fraud; or
• an endorsement by PINASMART.

Documents can expire, be revoked, become outdated or, despite reasonable review, later prove inaccurate or fraudulent.

Both buyers and sellers must therefore continue to exercise reasonable due diligence.

10. Premium, Featured and Sponsored Listings Are Advertisements or Visibility Features

Businesses may pay PINASMART for Premium status, featured placement, sponsored exposure, enhanced profiles or other additional visibility.

These services are advertising and Platform-feature services.

Payment for enhanced visibility does not mean PINASMART guarantees or endorses the quality, integrity, financial condition or commercial performance of the advertiser.

Sponsored or Premium listings may appear more prominently than other listings because enhanced visibility is part of the service purchased.

11. No Guarantee of Listing Accuracy

PINASMART makes reasonable efforts to maintain a useful and trustworthy business-discovery platform. However, PINASMART cannot guarantee that every statement contained in every independent business listing will remain complete, correct or current at all times.

Information may change without PINASMART being immediately informed, including:

• prices;
• inventory;
• contact numbers;
• addresses;
• business ownership;
• operating hours;
• licenses;
• permits;
• product specifications;
• delivery availability; and
• commercial terms.

Material information should be reconfirmed directly with the relevant business.

12. Due Diligence Is Required From Buyers

Prospective buyers are responsible for exercising appropriate commercial judgment before transferring money, accepting credit terms, releasing confidential information or entering into a contract.

Depending on the transaction, buyers should consider verifying:

• the seller's legal identity;
• business registration;
• physical address;
• authority of the person negotiating the transaction;
• business and professional permits;
• ownership and condition of goods;
• product specifications;
• samples;
• references;
• warranties;
• delivery arrangements;
• payment instructions; and
• written contractual terms.

13. Due Diligence Is Also Required From Sellers

Sellers should not assume that every enquiry received through PINASMART is automatically legitimate merely because it originated from the Platform.

Sellers remain responsible for conducting reasonable checks on prospective buyers before extending credit, releasing valuable goods, incurring substantial production expense or entering into high-value transactions.

Where appropriate, sellers should verify:

• the buyer's identity;
• company information;
• authority to purchase;
• creditworthiness;
• payment information;
• purchase orders;
• delivery details; and
• other relevant commercial information.

PINASMART therefore strongly encourages mutual due diligence by both buyer and seller.

14. Quotations and Enquiries

PINASMART may provide tools for buyers to send enquiries or requests for quotation to businesses.

Unless expressly indicated otherwise, a quotation received from a seller is prepared by that seller and not by PINASMART.

PINASMART does not warrant that:

• a quotation will be accepted;
• a quoted price will remain available;
• a seller will fulfill an order;
• a buyer will proceed with a purchase;
• credit will be extended;
• payment will be made; or
• an enquiry will result in a successful transaction.

15. Buyer and Seller Payments

Before transferring funds directly to another user, parties should independently verify the recipient and payment instructions.

PINASMART recommends additional caution where a person requests payment:

• to an unrelated personal account;
• to an account inconsistent with the stated business;
• using unusual or untraceable payment arrangements;
• before appropriate documentation is provided; or
• under unreasonable urgency or pressure.

16. Products, Services and Equipment

PINASMART does not ordinarily possess, manufacture, inspect, test or control products, services or equipment listed by independent businesses.

The relevant seller remains responsible for the accuracy of representations concerning:

• quality;
• quantity;
• condition;
• safety;
• specifications;
• fitness for purpose;
• availability;
• regulatory compliance;
• warranty; and
• delivery.

17. Regulated Products and Professional Services

Businesses offering regulated products, healthcare services, legal services, engineering, architecture, financial services, real estate services or other regulated activities are responsible for maintaining all required licenses, permits and professional authorizations.

Users should independently verify important credentials with the appropriate government agency or professional regulatory body.

18. No Professional Advice

Business listings or general information appearing on PINASMART do not constitute legal, medical, financial, accounting, engineering or other professional advice from PINASMART.

Where professional advice is required, users should consult an appropriately qualified and licensed professional.

19. User-Generated Content

Reviews, comments, quotations, descriptions, photographs, questions, answers and other user-generated content represent the views or submissions of the relevant user and not necessarily those of PINASMART.

PINASMART may moderate or remove content that appears fraudulent, unlawful, misleading, abusive, infringing or inconsistent with Platform policies.

20. Search Rankings and Recommendations

Search position may be influenced by relevance, geographic location, category, listing completeness, verification status, subscription plan, sponsored placement, engagement, quality signals and other Platform factors.

A higher search position does not mean that PINASMART certifies that the business is better, safer, more qualified or cheaper than another business.

21. Artificial Intelligence and Automated Systems

PINASMART may use artificial intelligence or automated systems to assist with business matching, search, categorization, recommendations, moderation, fraud detection or Platform improvement.

Automated outputs may occasionally be incomplete or inaccurate and should not replace reasonable human verification where information is material to a business transaction.

22. External Links

PINASMART may contain links to independent business websites, social-media pages, maps, payment providers or other third-party services.

PINASMART does not control their independent content, conduct, security, availability or privacy practices and does not automatically endorse a third party merely because a link appears on PINASMART.

23. Fraud, Impersonation and Suspicious Listings

PINASMART does not authorize fraudulent listings, impersonation, counterfeit products, deceptive advertisements or other unlawful conduct.

No verification or moderation system can guarantee that every fraudulent user or false document will be detected before interaction occurs.

Users who encounter suspicious conduct should discontinue the transaction where appropriate, preserve relevant evidence and report the matter promptly to PINASMART.

24. Reporting a Listing or Seller

Suspected fraud, false listings, prohibited goods, intellectual-property violations, dangerous products, impersonation or other unlawful conduct may be reported to:

Reports should include, where available, the relevant listing URL, business name, nature of the complaint and supporting documents or screenshots.

PINASMART may investigate, seek further documentation, restrict, suspend or remove content or accounts where reasonably appropriate.

25. PINASMART's Role Does Not Eliminate Mandatory Legal Duties

The fact that PINASMART does not charge commission on a buyer-seller transaction, does not ordinarily collect the seller's purchase price and does not ordinarily control fulfillment is relevant to the Platform's role, but does not exclude responsibilities that Philippine law mandatorily imposes upon a digital platform.

PINASMART intends to exercise reasonable and ordinary diligence in carrying out applicable Platform obligations, including appropriate verification, privacy protection, complaint handling and action concerning unlawful or prohibited listings.

26. Independent Responsibility of Buyer and Seller

To the fullest extent permitted by Philippine law, PINASMART is not responsible for the independent acts, omissions, representations, contractual breaches or commercial decisions of buyers and sellers in transactions to which PINASMART is not a contracting party.

This includes, subject to applicable law, disputes involving:

• non-payment;
• non-delivery;
• late delivery;
• incorrect quantity;
• product condition;
• quality disputes;
• warranty disputes;
• service performance;
• credit arrangements;
• tax obligations;
• returns;
• refunds;
• contract interpretation; and
• other independently negotiated commercial matters.

27. No Guarantee of Commercial Results

PINASMART sells visibility, discovery, Platform features and advertising services—not guaranteed customers or guaranteed transactions.

No Free, paid, Premium, Featured, Sponsored or other listing plan guarantees:

• a minimum number of enquiries;
• sales;
• orders;
• quotations;
• website visits;
• revenue;
• profits;
• customers;
• contracts; or
• commercial success.

28. Platform Availability

PINASMART may occasionally be unavailable because of maintenance, upgrades, telecommunications problems, cyber incidents, third-party infrastructure, natural disasters or other operational circumstances.

Reasonable efforts may be made to maintain Platform availability, but uninterrupted or error-free operation cannot be guaranteed.

29. Limitation of Liability

To the fullest extent permitted by applicable law, KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS and PINASMART shall not be liable merely because an independent buyer and seller discovered or contacted one another through PINASMART for losses caused solely by the independent fraud, breach, non-payment, non-delivery, misrepresentation or other conduct of one of those parties.

PINASMART does not guarantee the quality, safety, legality, creditworthiness, financial capacity or future conduct of every independent Platform user.

Nothing in this Disclaimer excludes liability or responsibility that cannot lawfully be excluded, including mandatory responsibilities imposed upon a digital platform under Philippine law.

30. Seller Responsibility for Submitted Information

A seller submitting information to PINASMART represents that:

• the information is accurate to the best of the seller's knowledge;
• the seller has authority to submit it;
• the seller has authority to permit its publication;
• required licenses and permits are maintained where applicable;
• uploaded photographs, logos and content may lawfully be used; and
• the listing does not intentionally mislead prospective buyers.

31. Public Business Information

Business information designated for publication may be indexed by search engines and viewed by the public.

If a seller withdraws a listing, copies or cached versions may temporarily remain in search engines, archives or third-party systems outside PINASMART's direct control.

32. Mandatory Rights and Philippine Law

Nothing in this Disclaimer is intended to waive, restrict or exclude a right, remedy, obligation or liability that cannot lawfully be waived or excluded under Philippine law.

Where mandatory Philippine law conflicts with any portion of this Disclaimer, the mandatory legal requirement shall prevail.

33. Complaints and Internal Redress

Users should promptly report concerns concerning suspicious listings, fraud, prohibited products, inaccurate information or other Platform issues to:

PINASMART will maintain an appropriate complaint and redress process consistent with applicable Philippine law.
