Effective Date: 1 October 2026
Welcome to PINASMART™ ("PINASMART", "PinasMart", "we", "us", or "our"), a Philippine online business discovery and business-to-business marketplace platform available at www.pinasmart.com.
PINASMART is owned and operated by KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS, with business address at 1B Aveline Building, General Tinio, Nueva Ecija, Philippines.
These Terms and Conditions ("Terms") govern your access to and use of PINASMART, including its website, accounts, business listings, products and services listings, search functions, enquiries, requests for quotation, messaging, advertising, subscription plans, verification features and other related services (collectively, the "Platform").
By creating an account, registering or claiming a business, submitting or publishing a listing, uploading verification documents, sending an enquiry or quotation request, purchasing a listing plan or advertisement, entering and submitting a verification code or OTP where acceptance is presented, or otherwise expressly accepting these Terms, you agree to be legally bound by these Terms together with our Privacy Policy and Disclaimer.
If you do not agree with these Terms, you should not register, verify, claim or maintain a business listing or use Platform features requiring acceptance of these Terms.
1. About PINASMART
PINASMART is primarily a business discovery, directory and business-to-business marketplace platform designed to connect prospective buyers with independent sellers, manufacturers, suppliers, distributors, contractors, professionals, service providers, equipment owners and other legitimate businesses.
PINASMART may provide business listings, product and service catalogues, category and geographic searches, enquiries, requests for quotation ("RFQs"), messaging, advertisements, sponsored or featured placement, verification features, analytics and other marketplace tools.
2. PINASMART's Role
Unless expressly stated otherwise for a particular service, PINASMART provides the digital environment and tools through which prospective buyers and independent businesses may discover and communicate with one another.
PINASMART is ordinarily not the seller, manufacturer, supplier, distributor, contractor, professional, service provider, lessor, employer, buyer, broker, agent, guarantor or party to a transaction independently entered into between users.
PINASMART does not ordinarily negotiate the final transaction for the parties, take possession of listed goods, perform independently listed services, control delivery or fulfillment, or provide warranties for products or services offered by independent businesses.
3. No Commission on Buyer-Seller Transactions
PINASMART does not ordinarily charge or collect a commission, percentage of sale or success fee from the purchase price privately agreed between an independent buyer and seller merely because they discovered or contacted each other through PINASMART.
The buyer and seller independently determine their price, quantity, specifications, payment arrangements, delivery, warranties, returns, after-sales service and other commercial terms.
4. Payments Made to PINASMART
Payments made directly to PINASMART are generally for services supplied by PINASMART itself, including:
- paid listing plans;
- additional listing features;
- enhanced business profiles;
- Premium features;
- advertisements;
- featured or sponsored placement;
- additional visibility;
- analytics or Platform tools where offered; and
- other clearly identified PINASMART digital services.
Payment for a PINASMART plan or advertisement does not constitute payment for goods or services independently offered by another business listed on the Platform.
Unless PINASMART expressly states otherwise, PINASMART does not collect or hold the purchase price of an independent seller's goods or services on behalf of that seller.
5. Eligibility and Authority
Users must have the legal capacity necessary to use the relevant Platform features and enter into applicable agreements.
If you register, claim or manage a listing on behalf of a corporation, partnership, sole proprietorship, professional practice, organization or other business, you represent and warrant that you are the owner or are duly authorized to act on behalf of that business.
You must not claim, verify or control a business listing without proper authority.
6. User Accounts
Users agree to:
- provide truthful, accurate, current and complete information;
- keep account information reasonably updated;
- maintain the confidentiality of passwords, OTPs and account credentials;
- use reasonable measures to prevent unauthorized access;
- notify PINASMART if account compromise is suspected; and
- accept responsibility for activities performed through their accounts, subject to applicable law.
Users must not create accounts using false identities, impersonate another person or business, or falsely represent authority over a business.
7. OTP Verification and Electronic Acceptance
PINASMART may use email, SMS, OTP codes or other electronic methods to verify an account, business representative or acceptance of specified declarations and policies.
Where PINASMART clearly informs a user that submitting a verification code constitutes confirmation or acceptance, entering and submitting that OTP or verification code constitutes the user's electronic act confirming the statements displayed or communicated as part of that verification process.
PINASMART may maintain electronic records of such acceptance, including the account or business involved, date and time, applicable policy versions and other reasonable audit information.
8. Seller Declaration and Authorization to Publish
By creating, claiming, verifying, editing or maintaining a business listing, the seller, business owner or authorized representative confirms that:
- he or she is the business owner or is authorized to represent the business;
- information and documents submitted are true and accurate to the best of his or her knowledge;
- the business is legally entitled to conduct the activities represented in the listing;
- required permits, registrations and licenses will be maintained where applicable;
- submitted content may lawfully be published; and
- PINASMART is authorized to publish the business information designated for public display so prospective buyers can discover and contact the business.
The seller understands that public visibility of relevant business information is an essential feature of PINASMART.
If a seller does not agree to the publication of information necessary for the business listing, the seller should not submit, verify or maintain that information and may request appropriate modification or removal subject to applicable law and PINASMART's legitimate record-retention requirements.
9. Business Listings
Businesses are responsible for ensuring that their listings are accurate, lawful and not misleading.
A business must not knowingly publish false or misleading information concerning:
- its identity;
- business registration;
- location;
- ownership or authority;
- licenses or permits;
- products or services;
- prices;
- inventory or availability;
- specifications;
- professional qualifications;
- delivery capabilities;
- warranties; or
- other material commercial information.
10. Public and Lawfully Sourced Business Information
PINASMART may contain business information submitted directly by businesses or their authorized representatives and may also contain business information obtained from lawful publicly available sources.
A legitimate business owner or duly authorized representative may request to claim, verify, correct or appropriately remove an eligible listing.
The existence of an unclaimed listing does not mean that the business has purchased a PINASMART subscription, formally partnered with PINASMART or endorsed PINASMART.
11. Verification of Businesses
PINASMART endeavors to improve Platform trust by reviewing business information and supporting documents where appropriate.
PINASMART may request or review:
- DTI or SEC registration;
- BIR registration;
- business or Mayor's permits;
- government-issued identification;
- proof of business address;
- professional licenses;
- regulatory permits;
- proof of authority to represent a business; and
- other documents reasonably relevant to verification.
PINASMART may also compare submitted information against lawful public records, professional registries or other appropriate verification sources.
12. Meaning of Verified Status
A Verified designation generally means that PINASMART has reviewed specified information or documents according to its verification procedure at a particular point in time.
Verification is not an endorsement, government accreditation, financial audit, credit rating, warranty or guarantee.
PINASMART does not guarantee that a verified business will complete a transaction, make payment, deliver goods, perform services or otherwise satisfy every contractual obligation.
Buyers and sellers remain responsible for conducting appropriate due diligence.
13. Products and Services
Businesses offering products or services are responsible for accurately describing material information, including where applicable:
- product or service name;
- brand;
- condition;
- price or quotation basis;
- specifications;
- minimum quantities;
- availability;
- delivery or service area;
- limitations;
- warranty information; and
- regulatory requirements.
PINASMART does not ordinarily possess, manufacture, inspect or test products offered by independent businesses.
14. Regulated Businesses, Products and Professions
Businesses engaged in regulated activities are responsible for obtaining and maintaining all registrations, permits, licenses, certifications and approvals required by applicable law.
PINASMART may request evidence of regulatory authority and may restrict or remove a listing where appropriate evidence is not provided.
Acceptance or verification of a listing does not constitute a determination that every legal or regulatory requirement applicable to that business has been satisfied.
15. Buyer Enquiries and Requests for Quotation
PINASMART may allow prospective buyers to contact businesses or submit enquiries and RFQs.
Unless expressly stated otherwise, quotations, estimates and commercial responses are prepared by the responding business and not by PINASMART.
An enquiry or RFQ is generally a request for information and does not by itself create a binding sales contract.
Users should confirm specifications, quantity, price, taxes, payment conditions, delivery, warranty and all other material terms directly with the relevant business before entering into a transaction.
16. Independent Buyer-Seller Transactions
Unless expressly stated otherwise, the buyer and seller independently negotiate and perform their transaction.
The parties are responsible for matters including:
- identity and authority verification;
- commercial due diligence;
- price and quotations;
- contracts and purchase orders;
- payment;
- credit;
- taxes and invoicing;
- product quality and specifications;
- delivery and transportation;
- insurance;
- warranties;
- returns and refunds;
- after-sales service;
- professional performance;
- licenses and permits; and
- resolution of disputes arising from their transaction.
17. Mutual Due Diligence
Both prospective buyers and sellers are expected to exercise reasonable due diligence.
Buyers should independently verify the seller, business registration, representative's authority, licenses, products, specifications, payment instructions, delivery arrangements and other material information appropriate to the transaction.
Sellers should independently verify prospective buyers where appropriate before extending credit, releasing goods, beginning substantial production, accepting unusual payment arrangements or entering into high-value transactions.
A PINASMART listing, verification badge or enquiry should not replace reasonable commercial judgment.
18. Fraud and Scam Prevention
Users must not use PINASMART to commit or facilitate fraud, scams, impersonation, phishing, money laundering, deceptive transactions or other unlawful activities.
Users should exercise additional caution where another party requests unusual payment arrangements, unrelated personal accounts, confidential credentials or urgent transfers without appropriate supporting documentation.
Suspicious conduct should be promptly reported to PINASMART.
19. Subscription Plans
PINASMART may offer Free and paid listing plans containing different features, limits and levels of visibility.
The price, billing period, features and applicable limits displayed when a plan is purchased form part of the subscription arrangement.
PINASMART may modify future subscription prices, features and limits as the Platform develops.
Changes to future subscription offerings do not automatically create a refund entitlement for a previously purchased service unless required by law or expressly promised by PINASMART.
20. Advertising, Premium, Featured and Sponsored Placement
PINASMART may sell advertising, Premium subscriptions, Featured placement, Sponsored placement or other enhanced visibility.
Paid placement may affect the visibility or position of a business or advertisement.
Premium, Featured or Sponsored status does not constitute an endorsement, certification or guarantee of the advertiser.
Unless PINASMART expressly agrees otherwise in writing, no paid placement guarantees a fixed search position, minimum number of enquiries, sales or other commercial results.
21. Fees, Payments and Refunds
Fees for PINASMART plans, advertisements and other paid Platform services will be displayed or otherwise communicated before purchase.
Applicable taxes may be added where legally required.
Except where otherwise stated or required by applicable law, fees for an activated subscription period, advertisement or digital promotional service are generally non-refundable once the relevant service has been activated or materially provided.
Nothing in this provision restricts a refund or remedy that applicable Philippine law mandatorily requires.
22. Renewal and Cancellation
If a PINASMART service is expressly offered as automatically renewing, the applicable renewal terms will be disclosed in connection with that service.
Where automatic renewal is not indicated, a paid plan will ordinarily expire at the end of the purchased period unless renewed.
Cancellation ordinarily prevents future renewal and does not automatically create a refund for a service period already purchased and activated, except where required by law or expressly provided by PINASMART.
23. No Guarantee of Business Results
PINASMART provides business discovery, visibility, advertising and communication tools.
PINASMART does not guarantee:
- any minimum number of views;
- enquiries;
- RFQs;
- leads;
- customers;
- orders;
- sales;
- contracts;
- revenue;
- profits; or
- other commercial results.
A paid subscription purchases Platform features and/or visibility, not guaranteed commercial success.
24. Prohibited Listings and Activities
Users must not use PINASMART to advertise, request, sell, promote or facilitate products, services or activities prohibited by applicable law or PINASMART policy.
Prohibited content may include, without limitation:
- stolen goods;
- counterfeit or pirated goods;
- fraudulent services or schemes;
- forged documents or credentials;
- unlawfully offered controlled substances;
- prohibited weapons or dangerous goods offered contrary to law;
- unlawfully traded wildlife or protected species;
- malware, stolen credentials or unlawful hacking services;
- illegal or exploitative content;
- products subject to applicable government prohibition or takedown orders;
- imminently unsafe or dangerous products or services; and
- other unlawful products, services or activities.
PINASMART may impose restrictions stricter than the minimum required by law where reasonably necessary to protect users, Platform integrity or public safety.
25. Prohibited User Conduct
Users must not:
- submit false, fraudulent or intentionally misleading information;
- impersonate another person or business;
- claim a business without authority;
- create fake reviews, enquiries, quotations or engagement;
- send spam or unauthorized bulk communications;
- harass, threaten or unlawfully discriminate against another person;
- upload malware, viruses or malicious code;
- attempt unauthorized access to PINASMART systems or accounts;
- interfere with Platform security or availability;
- circumvent access controls or security measures;
- systematically scrape, harvest, copy or extract Platform information without authorization;
- use automated bots contrary to PINASMART's rules;
- collect personal information for unlawful purposes;
- use PINASMART for fraud or other criminal conduct; or
- assist another person in violating these Terms.
26. Intellectual Property of PINASMART
The PINASMART name, trademarks, logos, website design, software, interfaces, original graphics, original text, proprietary database structures and other materials owned by PINASMART or KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS are protected by applicable intellectual-property laws.
Users may not reproduce, sell, commercially exploit, scrape, republish or distribute proprietary PINASMART material except as permitted by law or with prior authorization.
27. Seller and User Content
Users retain ownership of content they lawfully own.
By submitting logos, photographs, videos, descriptions, product information or other content for publication on PINASMART, the user grants KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, format, display, distribute and use that content as reasonably necessary to:
- operate the listing;
- display the business on PINASMART;
- make the listing searchable;
- promote the relevant business or listing;
- promote PINASMART and its marketplace services; and
- operate and improve the Platform.
The user represents that he or she possesses the necessary rights and permissions to grant this license.
28. Intellectual Property Complaints
A person who believes that content appearing on PINASMART infringes a trademark, copyright or other intellectual-property right may submit a complaint to inquiries@pinasmart.com.
The complaint should contain sufficient information to identify the complainant, the relevant right, the allegedly infringing content and the location of the content on PINASMART.
PINASMART may investigate, restrict or remove disputed content where reasonably appropriate or legally required.
29. Reviews and User-Generated Content
Where PINASMART permits reviews, ratings, comments or other user-generated content, such content represents the views or experiences of the relevant users and not necessarily those of PINASMART.
Users must not knowingly submit fake, defamatory, unlawful, manipulated or fraudulent reviews.
PINASMART may investigate or remove content that violates these Terms or applicable law.
30. Search Rankings and Recommendations
Search results may consider factors including relevance, category, location, listing completeness, verification status, subscription level, sponsored placement, engagement, quality signals and Platform-integrity considerations.
A higher search ranking does not constitute a representation that one business is safer, more qualified, cheaper or otherwise superior to another.
31. Artificial Intelligence and Automated Systems
PINASMART may use algorithms, artificial intelligence and automated systems for search, recommendations, business matching, categorization, duplicate detection, moderation, fraud prevention, analytics and Platform improvement.
Automated outputs may occasionally contain errors or incomplete information. Users should independently verify information material to a transaction.
32. Privacy and Personal Information
Personal information processed through PINASMART is subject to the PINASMART Privacy Policy.
Users receiving information about another person through PINASMART must use that information lawfully and must not use it for spam, harassment, identity theft, unauthorized profiling or other unlawful purposes.
PINASMART does not sell users' personal information as a personal-information database to unrelated third parties.
33. External Websites and Third-Party Services
PINASMART may link to or integrate with third-party websites, payment providers, maps, social-media platforms, messaging applications, logistics providers or other independent services.
Those services operate under their own terms and privacy practices.
A link or integration does not automatically constitute PINASMART's endorsement of the third party.
34. Complaints and Internal Redress
Users may report suspected fraud, prohibited listings, impersonation, inaccurate business information, intellectual-property violations, unsafe products or other Platform concerns to:
inquiries@pinasmart.com
Reports should contain sufficient information to identify the relevant account, business, listing or conduct and should include supporting evidence where available.
PINASMART may request additional information reasonably necessary to investigate a complaint and will maintain an internal complaint and redress process consistent with applicable Philippine law.
35. Moderation, Suspension and Removal
Where reasonably necessary to protect users, enforce these Terms or comply with law, PINASMART may:
- reject or remove a listing;
- correct or restrict content;
- request additional verification;
- remove a verification indicator;
- restrict Platform functionality;
- suspend an account;
- terminate an account;
- prevent abusive replacement accounts;
- preserve relevant records; and
- cooperate with competent government authorities.
Such action may be taken in response to suspected fraud, false documentation, repeated complaints, unlawful activity, security threats, government orders or material violations of these Terms.
36. Government and Regulatory Requests
PINASMART may preserve records, restrict content, disclose information or take other appropriate action when required by a valid court order, subpoena, regulatory directive, lawful government request or other applicable legal process.
37. Platform Availability
PINASMART may perform maintenance, updates, security work and technical changes and may temporarily restrict access to some or all Platform functions.
Although reasonable efforts may be made to maintain reliable service, PINASMART does not guarantee uninterrupted, error-free or continuously available operation.
38. Disclaimer Regarding Independent Transactions
To the fullest extent permitted by applicable law, PINASMART is not responsible merely because an independent buyer and seller discovered or contacted one another through the Platform for losses caused solely by the independent fraud, breach, non-payment, non-delivery, misrepresentation or other conduct of either party.
PINASMART does not guarantee the financial condition, creditworthiness, future conduct, product quality, service quality or contractual performance of every user.
Nothing in these Terms excludes an obligation or liability that applicable Philippine law mandatorily imposes upon PINASMART or KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS.
39. Limitation of Liability
To the fullest extent permitted by applicable law, PINASMART and KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS shall not be liable for indirect, incidental, special or consequential loss arising solely from an independently negotiated transaction between users where PINASMART is not a contracting party.
PINASMART is not responsible for a user's independent failure to pay, deliver, perform, obtain required licenses, satisfy warranties or comply with a separate contract entered into with another user, except to the extent liability is imposed by applicable law.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
40. Indemnification
To the extent permitted by law, a user agrees to indemnify and hold KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS and PINASMART harmless from third-party claims, losses, liabilities and reasonable legal expenses arising from:
- the user's unlawful conduct;
- false or misleading information submitted by the user;
- the user's products or services;
- the user's breach of these Terms;
- the user's violation of another person's intellectual-property or privacy rights;
- the user's failure to obtain necessary permits, licenses or authority; or
- the user's violation of applicable law.
This section does not require a user to indemnify PINASMART for liability that applicable law does not permit PINASMART to transfer or exclude.
41. Electronic Communications and Records
Users agree that PINASMART may provide appropriate account notices, OTPs, confirmations, invoices, subscription information, security notifications and other communications electronically, subject to applicable law.
Electronic records may be maintained for reasonable operational, security, audit, contractual and legal purposes.
42. Changes to PINASMART Services
PINASMART may add, modify, replace or discontinue Platform features as the service develops.
Where a material change directly affects an active paid service, PINASMART will take reasonable measures regarding notice or transition where appropriate and required.
43. Changes to These Terms
PINASMART may revise these Terms to reflect changes in law, regulation, Platform functionality, pricing, security requirements or business operations.
The current version and effective date will be published on PINASMART.
Where applicable law requires specific notice or renewed consent for a material change, PINASMART will provide such notice or obtain such consent.
44. Account Closure and Termination
A user may stop using PINASMART and may request account closure through available account controls or by contacting PINASMART.
PINASMART may suspend or terminate an account for material or repeated violations of these Terms, fraud, false documentation, unlawful conduct, security threats, abuse, government orders or other serious Platform-integrity concerns.
Termination does not extinguish obligations or liabilities that arose before termination.
45. Force Majeure
To the extent permitted by law, PINASMART shall not be responsible for delays or service interruption caused by circumstances beyond its reasonable control, including natural disasters, typhoons, earthquakes, fires, war, civil disturbance, government action, widespread telecommunications or power failure, cyberattacks or failure of critical third-party infrastructure.
46. No Partnership, Employment or Agency
Use of PINASMART does not create a partnership, joint venture, employment, franchise, fiduciary or agency relationship between PINASMART and a user merely because the user maintains a listing or uses the Platform.
Likewise, PINASMART does not become the agent of a buyer or seller merely by facilitating discovery or communication between them.
47. No Waiver
Failure by PINASMART to immediately enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.
48. Severability
If a provision of these Terms is held invalid or unenforceable, it shall be interpreted or limited to the maximum extent permitted by law or severed where necessary, while the remaining provisions continue in effect.
49. Relationship With Other PINASMART Policies
These Terms should be read together with the PINASMART Privacy Policy, Disclaimer, applicable subscription terms and other Platform policies expressly incorporated by reference.
Where a separate written agreement expressly governs a specific PINASMART service, that agreement applies to the extent specified in it, subject to mandatory Philippine law.
50. Governing Law
These Terms are governed by and shall be interpreted in accordance with the laws of the Republic of the Philippines.
Nothing in these Terms prevents a person from exercising rights or remedies available before the Department of Trade and Industry, National Privacy Commission, Intellectual Property Office of the Philippines, courts or other competent government authority where applicable.
51. Dispute Resolution
Before commencing proceedings against PINASMART concerning a Platform matter, users are encouraged, and where applicable required by law, to first submit the complaint through PINASMART's internal complaint and redress process so that PINASMART has a reasonable opportunity to investigate and resolve the matter.
Complaints may be submitted to inquiries@pinasmart.com.
This provision does not restrict a person's right to approach an appropriate government authority where applicable law provides such a right.
52. Venue
For disputes arising exclusively from a business-to-business contractual relationship directly with KAIROXZ INFORMATION TECHNOLOGY SOLUTIONS, and only where Philippine law permits the parties to contractually agree upon venue, the parties agree that proceedings shall be brought before the appropriate courts having jurisdiction in Nueva Ecija, Philippines, unless otherwise agreed in writing.
Where mandatory consumer, procedural or other legal venue rules apply, those mandatory rules shall prevail.
53. Mandatory Legal Rights
Nothing in these Terms is intended to waive, restrict, exclude or diminish any right, remedy, warranty, duty or liability that cannot lawfully be waived, restricted or excluded under Philippine law.
If any provision of these Terms conflicts with a mandatory requirement of applicable Philippine law, the mandatory legal requirement shall prevail to the extent of the conflict.
